Use Petrisys software with clear responsibilities and risk boundaries.

1. Acceptance and scope

These Terms of Use ("Terms") govern access to and use of websites, software applications, documentation, demonstrations and related services made available by Petrisys Inc. (collectively, the "Services"), except where a separate written agreement expressly governs.

The Software License / EULA, Privacy Policy, Data & Confidentiality Statement and Disclaimer are incorporated by reference where applicable.

2. Eligibility and authority

You may use the Services only if you can lawfully enter into these Terms. If you use the Services for a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

3. Permitted use and restrictions

You may use the Services for lawful purposes and in accordance with applicable documentation and license terms. You must not:

• use a Service in violation of law, regulation, third-party rights, or contractual restrictions;
• attempt to gain unauthorized access to systems, accounts, networks or data;
• introduce malware, abuse infrastructure, disrupt availability, or bypass security or usage controls;
• use the Services to facilitate fraud, unlawful surveillance, harassment, harmful activity, or infringement;
• reverse engineer, decompile, disassemble or circumvent technical restrictions except to the limited extent such restriction is prohibited by applicable law;
• misrepresent Petrisys output as independently verified fact when verification is reasonably required.

4. AI and automated outputs

Some Services may use artificial intelligence, machine learning, rules, external models or automated workflows. Outputs may be incomplete, inaccurate, non-deterministic, outdated, unsuitable or offensive despite safeguards.

You are responsible for reviewing, validating and deciding whether to rely on any AI-generated or automated output. Unless Petrisys expressly agrees in writing otherwise, do not use an output as the sole basis for legal, medical, financial, employment, safety-critical, eligibility, identity, law-enforcement or other high-impact decisions.

Petrisys does not warrant that an AI model or third-party provider will produce the same output for the same input, remain available, or maintain a particular feature or model behaviour.

5. User responsibility, devices and backups

You are responsible for your devices, credentials, configurations, connected accounts, network access, inputs, local data and backups. If a Petrisys application stores information locally, Petrisys may not have access to it and may be unable to recover it after device failure, deletion, corruption, reinstallation or account loss.

6. Intellectual property

Petrisys and its licensors retain all right, title and interest in the Services, including software, branding, documentation, designs and other materials, except for rights expressly granted to you. No ownership is transferred by these Terms.

If you voluntarily provide suggestions or feedback about a Service, you grant Petrisys a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or obligation to you, provided Petrisys does not thereby obtain ownership of your confidential information.

7. Third-party products and services

The Services may interoperate with third-party products, APIs, app stores, operating systems, AI models, cloud platforms or websites. Petrisys does not control independent third parties and is not responsible for their availability, security, content, data practices, acts or omissions. Your use of third-party services is subject to their terms.

8. Confidential information and submissions

Do not send trade secrets, source code, regulated data or other highly sensitive information to Petrisys unless a written confidentiality agreement or other written agreement covering that information is already in place.

Contacting Petrisys, requesting a demonstration, submitting an idea, or discussing a potential project does not by itself create a confidentiality obligation, fiduciary duty, partnership or professional-client relationship. A signed non-disclosure agreement or services agreement is required when contractual confidentiality is intended.

9. Services provided “AS IS”

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES, REPRESENTATIONS OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE.

PETRISYS DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, SECURITY, AVAILABILITY AND ERROR-FREE OPERATION.

Nothing in these Terms excludes a warranty, condition or consumer right that applicable law does not permit the parties to exclude.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PETRISYS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, DATA OR USE, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PETRISYS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PETRISYS FOR THAT SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100 IF YOU PAID NOTHING FOR THAT SERVICE.

These limitations apply to the fullest extent permitted by law regardless of the theory of liability. They do not limit liability that cannot legally be limited.

11. Indemnity for misuse

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless Petrisys and its personnel from third-party claims, losses, liabilities and reasonable costs arising from your unlawful use of the Services, your material breach of these Terms, or your infringement or misuse of another person's rights. This provision does not require you to indemnify Petrisys for Petrisys's own unlawful conduct where such indemnification is prohibited by law.

12. Suspension and termination

You may stop using a Service at any time. Petrisys may suspend or terminate access where reasonably necessary to address misuse, security risk, legal requirements, non-payment, material breach, discontinuation of a Service, or protection of Petrisys or others. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limitations and governing law—will survive.

13. Governing law and forum

Except where mandatory law requires otherwise, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. Subject to any non-waivable rights, the courts located in Ontario, Canada will have jurisdiction over disputes arising from these Terms.

14. General terms

If any provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Petrisys's prior written consent, except where applicable law provides otherwise. Petrisys may assign these Terms as part of a reorganization, merger, acquisition or transfer of the applicable business.

Petrisys may update these Terms prospectively. The updated version will state a new "Last updated" date, and additional notice will be provided where required by law.
